MQ Realty Private Investors Club Membership Terms and Conditions
Version 1.0 — Effective Date: March 2026
These Terms and Conditions ("Terms") govern your membership in the MQ Realty Private Investor Club ("Investor Club") operated by MQ Realty Pty Ltd ("MQ Realty", "we", "us", "our"). By registering as a member of the Investor Club, you ("Member", "you", "your") agree to be bound by these Terms in their entirety. If you do not agree, you must not register or continue as a member.
Section 1 — Membership
1.1 Eligibility
Membership is open to individuals aged 18 years or over and entities legally registered in Australia. MQ Realty reserves the right to accept or decline any membership application at its sole discretion without obligation to provide reasons.
1.2 Registration
To become a Member, you must complete the Investor Club registration process, provide accurate and current personal information, and agree to these Terms. It is your responsibility to keep your membership details up to date.
1.3 Free Membership
Membership in the Investor Club is provided at no charge. There is no joining fee, annual subscription, or mandatory financial commitment required to maintain active membership.
1.4 No Purchase Obligation
Membership does not obligate you to purchase any property, participate in any investment program, or engage in any financial transaction. Participation in any opportunity is entirely at your discretion.
1.5 Termination of Membership
MQ Realty may suspend or terminate your membership at any time if you breach these Terms, engage in conduct detrimental to MQ Realty, or for any other reason at our sole discretion. You may also withdraw your membership at any time by providing written notice to [email protected] or by calling 0468 165 754.
Section 2 — Investor Club Programs
2.1 Program Descriptions
MQ Realty offers the following programs to Investor Club members, subject to availability and eligibility at the time of each opportunity:
- Investor Pool Projects — Coordinated group purchases enabling Members to participate in selected property developments, potentially accessing developer pricing and structured investment entry points.
- Co-Ownership Opportunities — Arrangements enabling two or more investors to jointly acquire a property with clearly defined and documented ownership shares.
- Buyer's Agent Services — Professional property sourcing, market research, negotiation and acquisition coordination services provided on a Member's behalf, subject to a separate service agreement.
- Managed Property Representation — Ongoing support coordinating communication between property owners and property managers following settlement.
- Other Programs — Any future program will be communicated to members via email, website, SMS, phone, social media, or via publicity.
2.2 Program Availability
Programs and opportunities are offered at MQ Realty's discretion and are subject to change, withdrawal, or modification without prior notice. Inclusion on the Investor Club mailing list does not guarantee access to any specific opportunity.
2.3 Separate Agreements
Participation in any Investor Club program may require execution of a separate written agreement, including buyer's agent agreements, co-ownership agreements, or management representation services agreements. These Terms govern membership only and do not constitute an agreement to provide any particular service.
Section 3 — Member Conduct and Obligations
3.1 General Conduct
Members must conduct themselves with integrity and professionalism in all interactions with MQ Realty, its staff, agents, partners, developers, and other Members. MQ Realty reserves the right to terminate membership of any Member whose conduct is considered harmful, inappropriate, damaging, or contrary to these Terms.
3.2 Accurate Information
Members must provide truthful, accurate, and complete information at the time of registration and must update their details promptly if any information changes. MQ Realty may rely on the information you provide when communicating investment opportunities and programs.
3.3 Compliance with Laws
Members must comply with all applicable Australian laws and regulations in connection with their membership and any investment activities. MQ Realty is not responsible for any loss or liability arising from a Member's failure to comply with applicable laws.
Section 4 — Protection of MQ Realty's Reputation
4.1 Non-Defamation Obligation
Members must not, at any time during their membership or after its termination, make, publish, share, or cause to be published any statement, comment, post, review, or communication — whether oral or written, online or offline — that is false, misleading, derogatory, or defamatory in relation to MQ Realty, its directors, employees, agents, contractors, affiliated entities, programs, services, or properties.
4.2 Prohibited Conduct
Without limiting clause 4.1, the following conduct is expressly prohibited:
- Posting false or misleading negative reviews about MQ Realty on any public platform, social media network, review website, or online forum.
- Making false claims or insinuations regarding the honesty, integrity, financial position, professional standards, or competence of MQ Realty or its personnel.
- Sharing confidential or commercially sensitive information obtained through membership without prior written consent from MQ Realty.
- Encouraging or inciting other Members, clients, or third parties to take action that damages the reputation or business interests of MQ Realty.
- Impersonating MQ Realty or its representatives, or creating content that could be mistaken for official MQ Realty communications.
4.3 Legitimate Feedback
Nothing in this section prevents a Member from sharing honest, accurate, and fair feedback about their genuine experience with MQ Realty, provided that such feedback is communicated through the internal complaints process set out in Section 5 before being published or shared publicly.
4.4 Consequences of Breach
MQ Realty reserves the right to take one or more of the following actions in response to a breach of this section:
- Immediately suspend or terminate the Member's Investor Club membership.
- Demand the immediate removal of any defamatory or harmful content.
- Seek injunctive relief to prevent further reputational damage.
- Pursue legal action for damages, including claims for defamation, injurious falsehood, or misleading and deceptive conduct under the Australian Consumer Law.
- Refer the matter to relevant professional or regulatory bodies where applicable.
4.5 Indemnity
You agree to indemnify and hold harmless MQ Realty and its directors, employees, and agents against all claims, damages, costs, losses, and expenses (including reasonable legal fees) arising directly or indirectly from your breach of this Section 4.
Section 5 — Complaints and Dispute Resolution
5.1 Commitment to Resolution
MQ Realty is committed to resolving any concerns, disputes, or complaints raised by Members promptly, fairly, and professionally. We encourage Members to contact us at the first sign of any issue.
5.2 Internal Complaints Process
If you have a complaint or concern regarding MQ Realty, its programs, services, or personnel, you must:
- Step 1 — Submit your complaint in writing by email to [email protected] or [email protected], clearly describing the nature of the concern, the relevant dates, and the outcome you are seeking.
- Step 2 — Allow MQ Realty a minimum of 15 business days to investigate and respond to your complaint.
- Step 3 — Engage with any proposed resolution or mediation process offered by MQ Realty in good faith before escalating the matter further.
5.3 Escalation
If a complaint is not resolved to your reasonable satisfaction following the internal process in clause 5.2, you may escalate the matter to the relevant external body, including NSW Fair Trading, the Real Estate Institute of NSW (REINSW), or an accredited mediator. MQ Realty will cooperate fully with any legitimate external process.
5.4 No Premature Public Disclosure
Members agree not to publish, broadcast, or share details of any unresolved complaint or dispute on any public platform — including social media, review websites, or online forums — until the internal complaints process in clause 5.2 has been fully exhausted. This obligation does not restrict access to any legal rights or protections available under Australian consumer law.
5.5 Acting in Good Faith
Both parties agree to act in good faith and to make genuine efforts to resolve any dispute without resorting to litigation. Where resolution cannot be reached internally, the parties may agree to engage an independent mediator before commencing court proceedings.
Section 6 — Disclaimer and Limitation of Liability
6.1 No Financial Advice
MQ Realty provides buyer's agent services and property acquisition support only, acting as real estate agents. Nothing communicated to Members — whether in writing, verbally, at events, or through any other medium — constitutes financial, investment, legal, tax, or accounting advice. Members must obtain independent professional advice before making any investment decision.
6.2 No Guarantee of Returns
MQ Realty makes no representation or warranty regarding the performance, value appreciation, or rental return of any property. All investment decisions are made at the Member's sole risk.
6.3 Limitation of Liability
To the maximum extent permitted by applicable law, MQ Realty's liability to any Member in connection with their Investor Club membership is limited to the amount (if any) paid by the Member to MQ Realty in the three months preceding the event giving rise to the claim. MQ Realty is not liable for any indirect, consequential, special, or punitive loss or damage.
6.4 Consumer Law
Nothing in these Terms limits any rights or remedies you may have under the Australian Consumer Law (Competition and Consumer Act 2010, Schedule 2) that cannot lawfully be excluded or limited.
Section 7 — Privacy and Communications
7.1 Collection of Information
By registering as a Member, you consent to MQ Realty collecting and using your personal information for the purposes of administering your membership, sending you investment opportunities, event invitations, and market updates in accordance with our Privacy Policy and the Privacy Act 1988 (Cth).
7.2 Marketing Communications
Members consent to receiving electronic marketing communications from MQ Realty including email updates, property alerts, and event invitations. You may unsubscribe at any time by clicking the unsubscribe link in any communication or, if no unsubscribe link is provided, by emailing [email protected].
7.3 Confidentiality of Opportunities
Investment opportunities and pre-release information shared with Members are provided in confidence. Members must not share, distribute, or republish this information without MQ Realty's prior written consent.
7.4 Investor Profile — Member Consent for Marketing Partner Access
By creating an Investor Profile as part of the Investor Club registration process, you expressly consent to the following:
- Access by Marketing Partners — Your Investor Profile, including personal details, investment preferences, financial objectives, and any other information provided during the registration or onboarding process, may be accessed by MQ Realty's authorised marketing partners and salespeople ("Marketing Partners") for the purposes of delivering improved, targeted, and personalised services to you, and for Know Your Customer (KYC) compliance and verification purposes.
- Profile Updates by Marketing Partners — Authorised Marketing Partners or Salespeople may update, amend, or annotate your Investor Profile during the consultation process, solely for the purpose of ensuring the accuracy of your profile and enhancing the quality of service provided to you. Any such updates will be made in consultation with you and in accordance with your instructions and best interests.
- Obligations of Marketing Partners — All Marketing Partners or salespeople who are granted access to your Investor Profile are bound by confidentiality obligations and must handle your personal information in accordance with the Privacy Act 1988 (Cth) and MQ Realty's Privacy Policy. Marketing Partners and Salespeople are prohibited from using your Investor Profile information for any purpose other than those described in this clause.
- Right to Withdraw Consent — You may withdraw your consent to Marketing Partner or Salesperson access at any time by providing written notice to [email protected] or [email protected]. Withdrawal of consent may limit MQ Realty's ability to provide certain personalised services to you under the Investor Club programs.
Section 8 — General Provisions
8.1 Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any dispute not resolved through the process in Section 5 shall be subject to the exclusive jurisdiction of the courts of New South Wales.
8.2 Amendments
MQ Realty reserves the right to amend these Terms at any time. Updated Terms will be communicated to Members by email and/or published on the MQ Realty website. Continued membership following notification of any amendment constitutes acceptance of the revised Terms.
8.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
8.4 Entire Agreement
These Terms, together with any separate service agreements executed in connection with specific Investor Club programs, constitute the entire agreement between MQ Realty and the Member with respect to Investor Club membership.
8.5 Waiver
A failure by MQ Realty to exercise or enforce any right under these Terms does not constitute a waiver of that right.
Acknowledgement
By registering for the MQ Realty Investor Club, you confirm that:
- You have read, understood, and agree to these Terms and Conditions in full.
- You understand and accept the obligations set out in Section 4 (Reputation) and Section 5 (Complaints).
- You will seek independent financial, legal, and tax advice before making any investment decision.
- You understand that membership does not constitute any form of financial advice or guarantee of investment returns.
- You consent to your Investor Profile being accessed and updated by MQ Realty's authorised Marketing Partners and Salespeople for service delivery and KYC purposes, as set out in clause 7.4.
Once you accept the membership terms and conditions, you are agreeing to the above in full.
